This POWER OF ATTORNEY made on the … … … … … day of … … … … … Two Thousand by MATATU EAST AFRICA LIMITED a Limited Liability Company incorporated in the Republic of Kenya pursuant to the provisions of the Companies Act 2015  having its registered office in Nairobi in the said Republic and care of Post Office Box Number 123, Nairobi aforesaid (hereinafter called “the Company”) WITNESSETH as follows:-

1.      The Company appoints Mr. KONDAKTA MNOMA, 47256551, Democratic Republic of Switzerland (hereinafter called “the Attorney”) to be its attorney with authority to execute on its behalf any deed or agreement which may be required to be executed by the Company in the Democratic Republic of Switzerland to complete and conclude the takeover of Balamyd  Kenya Branch by the Company.

2.      The Company intends that any deed or agreement signed on its behalf by the Attorney pursuant to Clause 1 (above) shall bind the Company and shall have the same effect as if it had been executed under the Company’s Common Seal.

3.      This Power of Attorney shall be governed by the Laws of the Republic of Kenya.

4.      This Power of Attorney is a deed and has been executed by the Company as a deed.
