Procedure for company registration in
Kenya
1.NAME
SEARCH
Proposed name must be reserved pending registration Names can only be reserved for thirty days.
Application for reservation of a name are made filling out Form CR 14 and be accompanied with the prescribed fee. We can do this for you, just talk to us.
2. Documents prescribed for incorporation of a company.
Memorandum and Articles of Association - Highlights the objectives of the company, the subscribers, the share structure of the company and the subscribers to the Memorandums and Articles of the company.
- Form CR1 - Application for registration of a Limited company, Unlimited company or a company limited by guarantee.
- Form CR2 - Model memorundam for a company with share capital.
- Form CR6 - Appointment of Directors of the company.
- Form CR12 - Notice of Rediential address of the Directors.
- Form CR 14 - Application for registration of company Name.
- Statement of nominal capital - Declaration of Nominal Capital of the company.

3. Only companies with a Nominal capital of over Kshs 500,000 are required to have a company Secretary.
4.The Statement of Nominal capital and the Form CR1 are required to be Revenue stamped.
The stamp duty fee is determined by the value of the nominal capital of the company.
5. Registration - Certificate of Incorporation is processed thereafter.
Requirements for company registration
in Kenya.
- Proposed company name for name search approval.
- Objectives of
the Company. The nature of Business / activities the company shall
undertake. - Names of the shareholders in Full.
- Names of the Directors in full if different from the shareholders.
- Postal addresses, Email address andTelephone Number of the shareholders and Directors.
- Number of shares to be held by each shareholder.
- Proposed
Physical address of the company and the Directors.The Physica Address
includes road, plot number,
town, county. - Copy of ID / Passport of the Shareholders / Directors.
- Passport photos of the Shareholders / Directors.
- Copy of PIN
certificate of the Shareholders / Directors.
THE PROCEDURE
- Name Search - Make an application to reserve the proposed name.You will need to come up with up-to 2 company name suggestions that will be used to perform the company name search to check its availability. We can do this for you in 2 hours..
- Memorandum & Articles of Associations and other forms- It will consists of Full names of directors, Occupation, Postal address, Shares allocation, Office location, Copy of ID, Passport Photo, Copy of KRA PIN Certificate among others. We can draw this for you in 1 day. We can do this for you……..
3. Payment
of Stamp Duty-Once
the memorandum & Articles have been prepared, you should lodge the documents
with the registrar of companies for payment of stamp duty. This may take 1-3
days. The amount of money that you pay depends on your declared nominal
capital, but the minimum is KES. 2,140 based on the minimum nominal capital of
KES. 2,000. We
